This is the official thread which announces an SGM for the Toymods Car Club

Information has been emailed out with the AGM Packs and (assuming that we have your current emailing details) you will receive Voting forms and information for the SGM.

Voting will be held at an SGM prior to the AGM on the Monday 20th of Feburary 2017. All People wishing to vote will also be required to be Financial members for the 2017 year.

Any general questions can be emailed or PM'ed to the Secretary.

a) Voting on changes to Toymods Car Club Constitution as outlined in the following explanation notes.

1. Ordinary Business

This Special General Meeting has been called to vote on proposed alterations to the Toymods Car Club Inc constitution to achieve the following

1) Bring the Constitution into alignment with the Associations Act 2009, and the new Regulation

2) Updates to the Historic Vehicles section of the constitution.

The Following passages are the current and the proposed alterations to the wording of the Constitution

1) Changes to the Associations Act

Changes to the associations incorporation laws

Changes to the association laws started on 1 September 2016, including amendments made to the Associations Incorporation Act 2009 (the Act) and a new Regulation. The following information highlights the key changes.

Constitution
Associations will still be able to either adopt the model constitution or develop their own constitution.
Every association’s constitution must address each of the matters listed in Schedule 1 of the Act. The constitution can address the matters in Schedule 1 of the Act in a way that best serves the association. The constitution can include additional matters. However, it must be consistent with the Act.
From 1 September 2016 there are three new matters that every constitution must address:
1. the maximum number of consecutive terms of office of any office-bearers on the committee (if specified)
2. ballots can be postal or electronic (the electronic voting method is new)
3. the winding-up of the association.
Any association wishing to update its constitution as a result of the amendments to the legislation will not be required to pay a fee to register the change until 1 September 2017.

Model constitution
The model constitution has been amended to include provisions addressing the above matters and also updates a number of other provisions. Associations can refer to the Summary of changes to the model constitution for further information about the main changes to the model constitution.
Changes to the model constitution coming into effect on 1 September 2016 will automatically apply to all associations that have already adopted the model constitution.
Additionally, if an association’s constitution fails to address a matter listed in Schedule 1 of the Act, then the provision in the model constitution relating to that matter will automatically apply to that association’s constitution.
However, this does not change the financial year end of an association registered before 1 July 2010:
• that has not amended its constitution since 1 July 2010 and
• whose constitution does not specify a financial year end.

Toymods Constitution is based on a modified version the older model constitution and, as such we are required to update our constitution to address the above. As references in the Model Constitution have been updated, we have accepted the 2016 Model constitution as a starting point, and modified matters that suit Toymods Car Club as listed below, as well as re-added the Historic Vehicles Part (with alterations listed in point 2)


2) Alterations from Model Constitution

• Section 8 – Fees and subscriptions. Part (2)(b) altered to allow for annual subscription via electronic means.

• Section 14 to 22 – The Committee – Committee positions added to reflect the requirements of the Toymods board committee make up.

• Section 52 – Principle objectives of the association – Toymods Club objectives added to Model Constitution.

• Section 53 – NSW Conditional Registrations – Section introduced to allow for Toymods to participate in the NSW RMS Conditional registration schemes (historic registrations)

Various alterations to the Model wording have been also been made, these alterations The Draft of the Constitution will be made available on the following page before the 6th of Feb for review. The Constitution will be under review until posted and Section numbering may be altered.

I haven't attended any of the S/AGMs for the club before and am keen on attending this time.

I've been involved with preparations for the AGM of the charity I work for so I am curious about the process with the club. Do we have an annual report? Where can I view our current constitution? Or will this be moot with the new changes to it?

It would be great to have you at the AGM/SGM.

We are very low key to be honest, very casual, no round table meeting etc. That being said we follow the minimum amount of things we need to.

The Draft mentioned in the SGM announcement will be posted on the main site at some stage in the coming days once we have finalised some passages. They generally read in the same fashion, but the new one has more references to the acts in it.

We don't do a big annual report as such, however the books should be available for inspection.

As Simon mentioned, or AGM is a fairly laid back affair. Basically we will summarise the accounts and events for 2016, I'll thank the board for their hard work throughout 2016 and the secretary then closes the board and deflates all positions vacant. We then elect/vote on the 2017 board positions and invite/encourage others who didn't apply to consider joining the board as an ordinary member of the board and that's the AGM done.

This year directly after the AGM we are holding a "Special General Meeting" as we need to revise the constitution. There are a couple of reasons for this. Firstly Fair Trading have revised the model constitution for Incorporated Associations and require us to bring our Constitution in line with that or at least reference the current Associations Incorporating Act.
We also need to revise our Constitution to document how we will support the new Modified Historic Registration scheme. On top of that it was die for a tidy up anyway.

Unfortunately I don't think we will have the draft constitution out before the SGM as we will only be finalising parts of it the week before. We will however have hard copies available at the AGM/SGM and a summary of the changes.

Thanks for the information, guys, I figured the process would be very informal for a club like this.

I'll make an effort to be there!
